1. Agreement to Terms

By accessing or using UpBracket.com ("the Website") and our services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

UpBracket provides digital marketing and web development services including but not limited to:

• Website design and development
• Search Engine Optimization (SEO)
• Pay-Per-Click (PPC) advertising management
• Social media marketing
• Content marketing and creation
• Brand identity and design
• Digital consultation and strategy

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized use.

4. Intellectual Property

The Website and its original content, features, and functionality are owned by UpBracket and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Upon full payment for services, clients receive ownership of deliverables as specified in their service agreement.

5. Payment Terms

Payment terms for our services:

• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• A deposit of 50% is required before project commencement
• Remaining balance is due upon project completion or as per milestone schedule
• Monthly retainer services are billed at the beginning of each month
• Late payments may incur a 2% monthly interest charge
• We accept bank transfers, credit/debit cards, and UPI payments

6. Refund Policy

Refunds are handled on a case-by-case basis. Once work has commenced, refunds will be prorated based on the amount of work completed. The initial deposit is non-refundable after project kickoff. For subscription services, cancellation must be made 30 days before the next billing cycle.

7. Project Timeline

Project timelines are estimates and may vary based on project scope, client feedback, and other factors. Delays caused by late client feedback, content submission, or approval will extend the project timeline accordingly. We are not liable for delays beyond our reasonable control.

8. Client Responsibilities

As our client, you agree to:

• Provide accurate and timely information required for the project
• Review and provide feedback within agreed timeframes
• Ensure you have rights to any content you provide
• Make payments according to the agreed schedule
• Designate a single point of contact for project communication

9. Limitation of Liability

UpBracket shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our services. Our total liability shall not exceed the amount paid by you for the services in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless UpBracket, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the service agreement with 30 days written notice. We may terminate or suspend your access immediately, without prior notice, for breach of these Terms. Upon termination, all completed work and rights thereto will be transferred upon payment of outstanding dues.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
